The premise

Yacht ownership has always been a liability wearing an asset's clothes.

A privately owned 37-foot motoryacht sits idle roughly 90% of the year. It depreciates while berthed. It consumes maintenance, insurance, crew and marina fees whether or not anyone steps aboard. The owner absorbs 100% of the cost to capture a handful of weekends.

Foctok inverts that arithmetic. The fleet is bought at a 25% shipyard discount, held by a single Cyprus company, and placed with established charter operators in markets that run different seasons. Utilisation is somebody's full-time job. Your exposure is a token, not a berth contract.

01 - Asset backing

€2.7M of hulls stand behind 100 tokens.

Foctokens are security tokens representing a percentage of a Cyprus limited company. That company's principal assets are six new Focus Forza 37 motoryachts acquired at €450,000 each - a 25% discount to list. The downside is anchored to a resale market for real boats, not to sentiment about a protocol.

Management's 15% is contributed in kind - marketing, maintenance and administration - not drawn in cash.

02 - Zero operational load

Somebody else does the work.

Berthing, insurance, crew, servicing, guest handling and the €10,000 per vessel per year maintenance programme are all inside the funded budget. Holders receive distributions; they never receive a haul-out invoice.

03 - Four seasons, four markets

Revenue that doesn't stop in October.

Three vessels work Florida, one Dubai, one the French Riviera, one the Adriatic and Balearics. Northern-hemisphere summer and Gulf winter offset each other, so the fleet is never wholly out of season at once.

04 - Predictable liquidity

10% of tokens burned every year.

Rather than waiting six years for a single event, the company buys back and burns 10% of outstanding tokens annually across the five operating years, returning capital as it is earned. Year six is the fleet sale and final distribution.

  1. 01

    Capitalise the Cyprus SPV

    A Cyprus limited company is incorporated and 100 foctokens are issued against it. Investors subscribe for 85 tokens - €2,805,000 - of which €105,000 covers legal, tax, technical and administrative setup.

  2. 02

    Acquire six hulls at a 25% discount

    €2,700,000 buys the fleet directly from Focus shipyard at €450,000 per vessel. The shipyard is not merely a vendor - it subscribes for ten foctokens itself, at €330,000.

  3. 03

    Place the fleet with charter operators

    Vessels are leased to established operators on the standard 80/20 owner-operator split, with the client paying skipper, fuel, VAT and extras on top. Target net take to Foctok: €1,900 per vessel working day.

  4. 04

    Distribute, burn, then exit

    Net charter income funds annual distributions and a 10% token burn each year for five years. In year six the fleet is sold and remaining holders take the residual value.

Scenarios

Three season lengths. One rate.

Every scenario below holds the net rate constant at €1,900 per vessel working day and varies only how many days the fleet works. The pessimistic case - 50 days per vessel - is the floor Foctok underwrites to, not the target.

Alignment

The shipyard is on the cap table.

Focus shipyard sold the fleet at a 25% discount and then bought ten foctokens for €330,000. That single fact changes the incentive structure of the entire vehicle.

A vendor whose only exposure is the invoice optimises for the invoice. A vendor holding 10% of the equity optimises for resale value, warranty response time and fleet uptime - because a hull sitting on the hard in August costs the shipyard money too.

Beyond the yield

Ten tokens is also a European residency.

A €330,000 subscription - ten foctokens - meets the investment threshold under Cyprus Regulation 6.2 for permanent residency. Status is lifelong, extends to immediate family, requires no relocation, and needs only one visit to Cyprus every two years to maintain. After eight years of residency, naturalisation becomes available.

Cyprus also offers one of the European Union's most favourable corporate and dividend tax regimes, which is why the SPV is domiciled there rather than offshore. Holders should take independent tax and immigration advice on their own position.
